what is the difference between .sp(spice netlist) and .sch(schematic netlist) files:-(

There are more than one software tool that make use of the .sch extension, therefore for a precise answer you need to specify the CAD ( although its structure in text formatting is currently becoming somewhat standardized ).

Anyway, in short words, a schematic netlist is aimed to describe only the drawing of the objects in a circuit inside the sheet, whereas spice netlists are intended to define values to each component so that can be used for simulations.
